1.1 These Terms and Conditions ("T&Cs") govern the use of the Virtual Stager product ("the Product") provided by ModelProp Ltd ("the Company") to its clients ("the Client").
1.2 By using the Product, the Client agrees to be bound by these T&Cs.
2.1 The Product is a web-based service that generates AI-derived visualisations of virtually staged rooms based on images provided by the Client.
2.2 The Product shall only be used for the purpose of creating virtual staging content for property marketing.
3.1 The Client will access the Product via a dedicated URL, or other such access point(s), provided by the Company.
3.2 The Client is responsible for maintaining the confidentiality of their login credentials and for any activity that occurs under their account.
4.1 The Product is offered as a monthly subscription service, with two pricing tiers: Base and Pro.
4.2 Payments shall be made in advance on a monthly basis.
4.3 A 'Pay As You Go' (PAYG) option is available for certain Clients in certain circumstances.
5.1 The Company shall store and process all data and images provided by the Client in accordance with the General Data Protection Regulation (GDPR) and all other applicable data protection laws and regulations.
5.2 The Company shall implement appropriate technical and organisational measures to ensure the security and confidentiality of the Client's data and images, where appropriate.
6.1 The Company shall retain the Client's data and images only for as long as necessary to provide the services and fulfil its legal obligations.
6.2 Upon termination of the service, the Company shall delete all of the Client's data and images within a reasonable timeframe, unless required to retain them by law.
7.1 The visualisations generated by the Product are AI-generated and cannot be copyrighted.
7.2 The Client is granted a non-exclusive, non-transferable licence to use the generated visualisations for their business purposes.
7.3 The Client retains all rights to the original images they upload to the Product.
8.1 The Company shall provide customer support via email (support@modelprop.ai) and telephone (0800 861 1697).
8.2 The Company shall make reasonable efforts to respond to and resolve any issues reported by the Client in a timely manner.
9.1 Either party may terminate the subscription service with one month's written notice.
9.2 The Company reserves the right to terminate the service immediately if the Client breaches any of these T&Cs.
10.1 The Company reserves the right to modify these T&Cs at any time.
10.2 The Client will be notified of any material changes to the T&Cs with a month's notice. Continued use of the Product after this time is an acceptance of the updated T&Cs.
11.1 The Product is provided "as is" without any warranties, express or implied.
11.2 The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Product.
11.3 The Company's total liability shall not exceed the subscription fees paid by the Client in the 12 months prior to the event giving rise to the claim.
11.4 The Company does not guarantee that the virtual staging visualisations will perfectly match real-world conditions or meet all of the Client's expectations.
12.1 The Client acknowledges that the visualisations are AI-generated and may not always accurately represent real-world spaces or furniture.
12.2 The Client is responsible for ensuring that their use of AI-generated visualisations complies with all applicable laws and regulations regarding property marketing and advertising.
13.1 These T&Cs shall be governed by and construed in accordance with the laws of England and Wales.
13.2 Any disputes arising out of or in connection with these T&Cs shall be subject to the exclusive jurisdiction of the courts of England and Wales.
By using the Virtual Stager product, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
